You are solely responsible for all content you upload, submit, or generate through Vendly, including but not limited to product images, descriptions, and any other materials. The following content is strictly prohibited and will result in immediate account termination without refund:
We reserve the right, but are not obligated, to review, screen, and monitor user-uploaded content. We may remove any content and terminate any account at our sole discretion, without prior notice, if we determine that content violates these Terms or is otherwise objectionable. You acknowledge that Vendly does not pre-screen all content and cannot guarantee that prohibited content will be detected or removed immediately.
By uploading content (including images) to Vendly, you represent and warrant that:
You retain ownership of your uploaded content. However, you understand and agree that your images and product data may be processed by third-party artificial intelligence services (including OpenAI) to generate product listings. You are solely responsible for ensuring that your content complies with all applicable laws and does not infringe on the rights of any third party.
The Vendly service, including its original content, features, and functionality, is owned by Vendly and protected by international copyright, trademark, and other intellectual property laws. Content you generate using our service belongs to you, subject to these Terms and any applicable third-party terms.
Listings generated by our AI are provided as suggestions only. You acknowledge and agree that:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. VENDLY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE AI-GENERATED CONTENT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VENDLY AND ITS OPERATOR, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO VENDLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 USD, WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Vendly, its operator (Jasmina Milosheska), employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any content you upload, submit, or transmit through the service; (e) your use or publication of any AI-generated content; or (f) any claim that content you uploaded caused damage to a third party. This indemnification obligation will survive termination of these Terms and your use of the service.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:
Upon termination for violation of these Terms (including Prohibited Content violations), you will not be entitled to any refund of fees paid. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
Any disputes arising out of or relating to these Terms or the service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction. You agree that any legal action or proceeding shall be brought solely in the courts of the applicable jurisdiction and you consent to the personal jurisdiction of such courts.
We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through the service. Continued use after changes constitutes acceptance of the new terms. If you do not agree with the modified terms, you must stop using the service and cancel your subscription.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
